1. Definitions

References to the “Services” mean that certain rewards programs offered by us through the Web site and Mobile App.

References to “us,” “we,” “our,” and/or “Modisoft,” mean Modisoft, Inc., a Texas corporation with a principal place of business located at 13131 Dairy Ashford Road, Suite 250, Sugar Land, Texas 77478 and any of our subsidiaries and affiliate companies.

References to the “Web site” mean the Web site bearing the URL as well as any other site or social media page operated by us.

References to the “Mobile App” mean the Cartzie mobile software application, available for download via the Apple App Store and Google Play.

References to “you,” and/or “User,” mean a registered user of our Services.

2. Agreement to be Bound

This Privacy Policy governs the collection and use of private information as it relates to the use of our Services. By utilizing our Services, you represent that you have read and understand the Privacy Policy and that you agree to be bound by thereby.

Customers accessing our Services are subject to our Terms and Conditions, which are incorporated herein by reference, which define some of the terms used throughout this Policy. Customers should carefully read and understand the Terms and Conditions before you use our Services. By using our Services, you accept the Terms and Conditions, and accept our privacy practices as described in this Policy.

If you do not agree with any part of this Policy or our Terms and Conditions, you must not use or access our Services.

This Privacy Policy shall be subject to our Cartzie Terms of Service and our general Web site Terms and Conditions.

3. Modifications and Changes to Privacy Policy

Our policies may change from time to time. We reserve the right to update or modify this Policy from time to time without prior notice. If you object to any changes, you must stop using our Services and Products. Customers should review this Policy on a regular basis. This Policy becomes effective on the date of its issuance, as referenced above. Your continued use of our Services, after modification, addition or deletion of the Policy shall be deemed to constitute acceptance by you of the modification, addition or deletion

4. The Information We Collect

We collect both personally identifiable information or personal data and non-personally identifiable information from you. Often, you choose what information to provide to us, but sometimes, we may require certain information from you to use the Service and for us to provide the Services. Specifically, we collect the following:

(a) Registration & Account Set Up.

In order to register you as a User and provide you with the Services and support we will collect personal data, which may include your full name; telephone number; email address; zip code; and fax number. We also will collect a user name and password. Upon registration, you will be provided with a unique, personally identifiable Cartzie member number. Should you choose to provide it, we may also collect general demographic information from you so as to conduct data analytics of our users.

(b) Automated Information.

Modisoft automatically receives and records information from each User’s browser or your mobile device when you visit the Web site or use the Mobile App, such as your IP address in an anonymized fashion or unique device identifier; cookies; data about which pages you visit in order to allow us to operate and provide the Web site; data about the type of device you use to connect to our Web site or the Mobile App; information about the pages you visit before and after the Web site; and the date and time of your visit to the Web site or use of the Mobile App. This information is stored in our log files and is collected automatically. We may combine this information from your browser or your mobile device with other information that we or our partners collect about you, including across devices. This information is used to prevent fraud and to keep the Services secure, to analyze and understand how the Services work for our Users, and to provide advertising, including across your devices, and a more customized experience for our Users.

We may also automatically collect device-specific information when you access or use our Web site or Mobile App. This information may include information such as the hardware model, operating system information, browser information, specific IP address, and device identifiers.

5. Use of Your Information and Your Preferences

We may use your personally identifiable information to provide and improve customer service administration; to contact Users via e-mail or telephone in order to send Users information and updates regarding their use of the services; to respond to inquiries, and/or other requests or questions; to send company news, updates and other related info; and to facilitate registration for and use of our Services.

We may use your non-personally identifiable information to create traffic statistics for our Web site, Mobile app, and Services; to improve customer service; and to personalize your User experience.

Modisoft gives you the choice of providing, editing or removing certain information, as well as choices about how we contact you. You may change or correct your Modisoft account information through your account settings. You can also request the deletion of the personal information in your account.

When you access or use our Services, you indicate your agreement to be bound to our Terms and Conditions and this Policy. To ensure your compliance, we process your personal information by actively monitoring, investigating, preventing and mitigating any alleged or actual prohibited, illicit or illegal activities on our Services. We also process your Personal Information to investigate, prevent or mitigate violations of our internal terms, agreements or policies; enforce our agreements with third parties and business partners.

Depending on your location, you may also have certain additional rights with respect to your information, such as: (i) data access and portability (including the right to obtain a copy of your personal data you provided to Modisoft, by contacting us); (ii) data correction (including the ability to update your personal data, in many cases via settings); (iii) data deletion (including the right to have Modisoft delete your personal information, except information we are required to retain, by contacting us); and (iv) withdrawal of consent or objection to processing (including, in limited circumstances, the right to ask Modisoft to stop processing your personal data, with some exceptions, by contacting us).

You may also control the receipt of certain types of communications from Modisoft. Modisoft may send you messages about the Services or your activity. Some of these messages are required service-related messages for Users (such as transactional messages or legal notices). Other messages are not required, such as newsletters. You can control which optional messages you choose to receive via the unsubscribe link in our emails. Data obtained through the short code program will not be shared with any third-parties for their marketing reasons/purposes.

If you no longer wish to use our Services or receive service-related messages (except for legally required notices), then you may close your account or update your preferences.

6. Location Information

Location information is used for notifying Customers of special offers and deals available in nearby stores and improving our services. We may collect and store general location information (such as IP address) when you use our services. If you permit the Services to access location services through the permission system used by your mobile operating system (“Platform”) or browser, we may also collect and store the precise location of your device when Modisoft applications are running in the foreground or background of your device. This information may be used to help you select your delivery address and to provide more accurate deliveries of your orders. You can choose whether to enable the location tracking feature through the settings on your device or Platform or when prompted by the Modisoft mobile app.

7. Sharing Information with Third Parties

Modisoft does not sell, rent or lease its customer lists to third parties. Modisoft may share your data only with those third parties who may be necessary to provide the Services and process your data, such as our rewards partners. In such an event, you can anticipate that your data will be treated as provided for by that third-parties’ privacy policy, as that policy may be updated from time-to-time by such third-party:

Modisoft may disclose your personal information, without notice, if required to do so by law or in the good faith belief that such action is necessary to: (a) conform to the edicts of the law or comply with legal process served on Modisoft; (b) protect and defend the rights or property of Modisoft; and/or (c) act under exigent circumstances to protect the personal safety of Users of Modisoft, or the public.

Modisoft may share your information with our third-party service providers for certain business purposes. This information is provided in order to induce such service providers to provide Modisoft services such as payment processing, advertising services, marketing partners, web analytics, data processing, IT services, customer support and other services. These third-party service providers have access to your Personal Information only for the purpose of performing services on our behalf and are expressly obligated not to disclose or use your Personal Information for any other purpose.

Modisoft may share your Personal Information with the Fulfillment Agency/Delivery Staff to deliver your requested orders. Modisoft may share your information with Merchants and order information related to your orders with Modisoft merchants.

Modisoft in certain cases may be required to disclose your personal information to third parties including law enforcement agencies go protect and defend our legal rights, protect the safety and security of users of our Services, prevent fraud, comply with the law, respond to legal process, or a request for cooperation by a government entity. Modisoft will provide available information to law enforcement agencies without seeking your permission.

In the event of company sale, transfer, merger, reorganization, dissolution of the business, or similar event we may transfer your information to one or more third parties as part of that transaction, including during the negotiation of an actual or contemplated transaction.

8. Use of Cookies

The Modisoft Web site may use "cookies" and other personalized advertising to help you personalize your online experience. A cookie is a text file that is placed on your hard disk by a web page server. Cookies cannot be used to run programs or deliver viruses to your computer. Cookies are uniquely assigned to you, and can only be read by a web server in the domain that issued the cookie to you.

One of the primary purposes of cookies is to provide a convenience feature to save you time. The purpose of a cookie is to tell the Web server that you have returned to a specific page. For example, if you personalize Modisoft pages, or register with Modisoft site or use the Services, a cookie helps Modisoft to recall your specific information on subsequent visits. This simplifies the process of recording your personal information, such as billing addresses, shipping addresses, and so on. When you return to the same Web site, the information you previously provided can be retrieved, so you can easily use the Modisoft features that you customized.

You have the ability to accept or decline cookies. Most web browsers automatically accept cookies, but you can usually modify your browser setting to decline cookies if you prefer. If you choose to decline cookies, you may not be able to fully experience the interactive features of the Modisoft Services or websites you visit.

9. Third-Party Sites

Some of the functionality in the products and Services may be provided by third parties and the Services may link to other third-party websites that are not controlled by Modisoft. These third parties are not under our control and Modisoft is not responsible for their privacy policies or practices. If you provide any Personal Information to any third party or through any such third-party website, we recommend that you familiarize yourself with the privacy policies and practices of that third party.

10. Security of your Personal Information

Modisoft secures your personal information from unauthorized access, use, or disclosure by restricting the same by using secure sockets layer (“SSL”).

Modisoft has implemented administrative, technical, and physical security controls that are designed to safeguard Personal Information. However, 100% security is not guaranteed; there are chances of errors. While we strive to protect your information, we cannot guarantee that your Personal Information is absolutely secure. Please keep this in mind when disclosing any information to Modisoft. As a result, while we strive to protect your personal information, you acknowledge that: (a) there are security and privacy limitations inherent to the Internet which are beyond our control; and (b) security, integrity, and privacy of any and all information and data exchanged between you and us through this Site cannot be guaranteed. Please note that non-encrypted communication using email is not secure. Thus, we cannot guarantee data security in email communication and, therefore, recommend using physical mail for confidential information.

Customers are advised to exercise personal care and responsibility to secure their information when communicating with us and with others through the Internet. Change passwords often, use secure combination of letters and numbers. If you have reason to believe that your interaction with us is no longer secure (for example, if you feel that the security of your account might have been compromised), or if you suspect someone else is using your account, please contact Modisoft immediately.

11. International Transfer

We offer a United States’ based service. Thus, your information will likely be transferred to and processed via servers located in the United States. Canada, the United States, European Economic Area (“EEA”) Member States, and other countries all have different laws. When your information is moved from your home country to another country, the laws and rules that protect your personal information in the country to which your information is transferred may be different from those in the country in which you live.

12. Children Under Thirteen; Notice to Minors

Modisoft does not knowingly collect personally identifiable information from children under the age of thirteen. If you are under the age of thirteen, you must ask your parent or guardian for permission to use our Services. We request that all users of our Services who are under the age of thirteen not disclose or provide any personally identifiable information. If you are a parent or guardian of a child under the age of thirteen and believe he or she has disclosed personally identifiable information to us please contact us. A parent or guardian of a child under age of thirteen may review and request deletion of the child’s Personal Information.

In addition to protecting the privacy of children under age thirteen we are committed to protect the privacy of minors. Though our Services are not targeted to minors nor is it intended to be used by minors, if, for any reason a minor has shared information via our Web site, Mobile App, and/or Services, said minor may request and obtain removal of such information by contacting us at Although we offer deletion capability, you should be aware that the removal of content may not ensure complete or comprehensive removal of that content or information provided.

13. Do Not Track Disclosure

Please note that while you may have the opportunity to opt-out of targeted advertising as discussed in the “How to Opt-Out” section, and you may be able to control the use of cookies through your Web browser as described in the “Use of Cookies” section, some Web browsers may also give you the ability to enable a “do not track” setting. This setting sends a special signal to the Web sites you encounter while Web browsing. This “do not track” signal is different from disabling certain forms of tracking by declining cookies in your browser settings, as browsers with the “do not track” setting enabled still have the ability to accept cookies. 14. Retention

Modisoft will retain your information only for as long as is necessary for the purposes set out in this policy, for as long as your account is active (i.e., for the lifetime of your Modisoft account), as described in this policy, or as needed to provide the Services to you and to maintain a record of your transactions for financial reporting purposes. If you no longer want Modisoft to use your information to provide the Services to you, you may close your account. Modisoft will retain and use your information to the extent necessary to comply with our legal obligations (for example, if we are required to retain your information to comply with applicable tax/revenue laws), resolve disputes, enforce our agreements, and as otherwise described in this policy. We also retain log files for internal analysis purposes. These log files are generally retained for a brief period of time, except in cases where they are used for site safety and security, to improve site functionality, or we are legally obligated to retain them for longer time periods.

15. E-mail Communications; How to Opt-Out

From time to time, Modisoft may contact you via email for the purpose of providing announcements, promotional offers, alerts, confirmations, surveys, and/or other general communication. If you would like to stop receiving marketing or promotional communications via email from Modisoft, you may opt out of such communications by clicking on the UNSUBSCRIBE link.

Email marketing campaigns published by us may contain tracking facilities within the actual email. Subscriber activity is tracked and stored in a database for future analysis and evaluation. Such tracked activity may include but shall not be limited to the opening of emails, forwarding of emails, the clicking of links within the email content, times, dates and frequency of activity. This information is used to refine any future email campaigns and supply the User with more relevant content based around their activity.

16. Social Media Usage

You may choose to enable or log in to our Services via various online services, including social networking services like Facebook and Google. Our Services also may enable you to access social networking services such as Facebook, Twitter, or Instagram (collectively, “Social Network”) directly or indirectly through our Services.

When you link a Social Network account to Modisoft or log into our Services using your Social Network account, we may collect relevant Personal Information necessary to enable our Services to access that Social Network and your information contained within that Social Network. We also may share your information with the operator of that Social Network to facilitate or enhance delivery of that Social Network or other services to you. A Social Network may provide us with access to certain information that you have provided to them, and we will use, store, and disclose such information in accordance with this Policy. Additionally, a Social Network may collect Personal Information and information about your use of our Site or Services automatically. The manner in which a Social Network collects, uses, stores, and discloses your information is governed by the policies of such third parties and Modisoft shall have no liability or responsibility for the privacy practices or other actions of any Social Network that may be enabled within our Services.

You may also have the option of posting your activities on our Services and other content to a Social Network when you access content through our Services. For example, you may post to Facebook that you placed an order with Modisoft. Keep in mind that your usage of Social Network features is governed by applicable Social Networks and not by Modisoft, and may be visible or accessible to the public.

17. Your Rights

You may benefit from a number of rights in relation to your information that we process. Some rights apply only in certain limited cases, depending on your location. If you would like to manage, change, limit, or delete your personal information, you can do so via your account settings or by contacting us. Upon request, Modisoft will provide you with information about whether we hold any of your personal information. In certain cases where we process your information, you may also have a right to restrict or limit the ways in which we use your personal information. 18. Special Notice to California Residents

If you are a California resident, California Civil Code Section 1798.83 permits you to request information regarding the disclosure of your personal information by Modisoft to third parties for the third parties’ direct marketing purposes. 19. Withdrawing Consent

Where you have provided your consent, you have the right to withdraw your consent to our processing of your information.
